Section 1. Name. The name of the organization is the Leadership Wooster Alumni Association and was organized in 1997
Section 2. Purpose. The purpose of the organization shall include the ongoing support of the Leadership Wooster, program by:
A) Providing alumni members to fill vacancies for the Leadership Wooster Steering Committee (either appointed or suggested).
B) Working to continue the educational process about leadership linked to Wooster and surrounding communities.
C) Promoting network opportunities for alumni participants
D) Serving as a resource for the Wooster Area Chamber of Commerce
Section 3. Membership. Membership shall be open to all graduates of Leadership Wooster classes. All members shall have all the same rights and privileges. The dues, if any, privileges, term of membership and all other qualifications relating to such membership shall be prescribed by members of the alumni association. All members of the alumni association shall be voting members.
Section 4. Trustees. For the purpose of these regulations, all members are trustees for the alumni association and all trustees are members.
Section 5. Annual Meeting. An annual meeting of the members of the alumni association shall be held on such date and at such time as shall be determined by the membership.
Section 6. Special Meetings. The Executive committee, upon request may call special meetings of the members by a sub-committee, or the request of any three or more members addressed to the Executive Committee.
Section 7. Notice of Meetings. Notice of all meetings of the members shall be given either by mail, facsimile, e-mail or in person to each member entitled there to at least 7 days prior to the date of such meeting. In the case of any special meeting, the notice thereof shall state briefly the purpose of such meeting.
Section 8. Quorum. A quorum shall consist of one-third of the members of the alumni association and shall be needed to vote on any issues at each meeting. A majority vote of those present shall be needed to adopt a motion.
Section 9. Place of Meeting. All meetings of members shall be held at a specifically designated meeting site. The meeting site need not be the same for all meetings as it is the intent of the association to seek different meeting sites to accommodate the needs of a quorum of members. Meeting sites will be determined at regularly scheduled meetings and announced to members who are at the meeting or by notice as prescribed in Section 7 of these regulations.
Section 10. Committees. The Executive Committee, as the governing body, may create or release any committee/sub-committee deemed appropriate for the continued success of Leadership Wooster and/or the Leadership Wooster Alumni Association.

Section 1. Committees. A committee structure form of organization will govern the Leadership Wooster Alumni Association.
The Executive Committee shall serve as the governing body of the Leadership Wooster Alumni Association and be responsible for its successful operation.
The Leadership Wooster Steering Committee will continue its role to organize, staff, prepare and operate the Leadership Wooster Program.
Section 2. Committee Member Terms. Committee members shall serve two-year terms and may be re-elected to no more than one additional consecutive term. Members shall serve their term until their successors are elected, appointed or until their early resignation, or removal from office.
Section 3. Removal. Any committee member may be removed, either for or without cause, by the affirmative vote of the majority of the Executive Committee.
Section 4. Vacancies. Vacancies in any committee of the association shall be filled for the un-expired term, by vote or appointed by the members of the Executive Committee.
Section 5. Duties. Subject to such limitations as the members may from time to time prescribe, the committees shall each have such powers and perform such duties as generally pertain to their respective assignments and such further powers and duties as from time to time may be conferred by the members or in the case of Executive Committee.
Section 6. Compensation. There shall be no compensation for serving on any committee.
